1. INTRODUCTION

These Terms of Sale (“Terms of Sale“) are entered into between you (“Subscriber," "you," or “your“) and USA Publishing, LLC (“USA Publishing,” “Company,” “we,” or “us“) and govern your purchase of a subscription to, or a One-Time Purchase (as defined in Section 9) through, The Los Angeles Post digital website service (the “Service”). By subscribing to the Service or making a One-Time Purchase, you agree to these Terms of Sale, our Terms of Use, and our Privacy Policy, each of which is incorporated by reference.

Subscriptions are available only to individuals who are at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, whichever is higher, and who have the legal capacity to enter into a binding contract. By subscribing, you represent and warrant that you meet these eligibility requirements and that you are authorized to use the payment method provided.

Subscriptions are personal to you and may not be sold, assigned, transferred, sublicensed, or otherwise conveyed to any other person or entity without our prior written consent. Any attempted transfer without our consent is void.

By clicking “Subscribe,” “Pay," "PayPal,” or any similar button at checkout, you:
(i) acknowledge that you have read and agree to these Terms of Sale, our Terms of Use, and our Privacy Policy; (ii) authorize us to charge your selected payment method on a recurring basis, including after any applicable trial period, in accordance with the subscription plan you select (or, in the case of a One-Time Purchase, authorize a single charge as described in Section 9); and (iii) expressly request immediate access to digital content and, if you are located in a jurisdiction that provides a statutory right of withdrawal for digital content, expressly consent to immediate performance and acknowledge that you will lose such right once access to the digital content begins.

2. ACCESS TO WEBSITE CONTENT

A subscription is required to access certain content on the Website. Although access to the Website is available without a subscription, certain content may be restricted or unavailable. You acknowledge and accept that without a subscription, your access to some content may be limited. The Company retains the right to alter the content available without a subscription at any time without notice.

When you choose to subscribe, the subscription fee and billing frequency will be clearly stated on the Website at checkout. Any available discounts will be communicated at the time of subscription and will not be applied retroactively. Subscription pricing and features may change on a prospective basis with prior notice where required by applicable law.

All subscription fees are denominated in United States dollars (USD). If you are located outside the United States, your financial institution or payment provider, and not USA Publishing, may convert the USD charge into your local currency using its own exchange rate at the time of the transaction. We are not responsible for currency conversion rates, exchange rate fluctuations, foreign transaction fees, rounding differences, or any other fees imposed by your bank, card issuer, or payment provider.

The Company may offer free or discounted trials from time to time, which will be disclosed to you at sign up if available.

We do not guarantee uninterrupted or error-free access to the Service. Access may be delayed or unavailable due to maintenance, technical issues, network interruptions, or other factors beyond our control. Temporary interruptions do not entitle you to a refund unless required by applicable law.

3. TRIALS

From time to time, the Company may offer free trials, discounted introductory periods, or other promotional introductory offers (each, a “Trial Offer”). Trial Offers may vary in duration, price, introductory charges, authorization amounts, or billing structure. The specific terms applicable to any Trial Offer will be disclosed to you at the time you enroll.

For certain Trial Offers, the Company may place a temporary authorization or validation hold on your Payment Method at the time you enroll. The authorization amount may be up to the full subscription price and may appear as a pending or posted transaction depending on your financial institution. An authorization hold is not an actual charge and no funds are collected unless and until your Trial ends without cancellation. If you cancel during the Trial period, the Company will not complete or capture the subscription charge. If you do not cancel before the end of the Trial period, the Company may capture and settle the authorized amount and your paid subscription will begin in accordance with these Terms of Sale. Once converted to a paid subscription, charges are non-refundable except where required by applicable law.

Authorization holds are released in accordance with your financial institution’s policies. The Company is not responsible for bank processing times, fund availability, exchange rate differences, or any fees imposed by your card issuer or payment provider.

Trial Offers automatically convert into a paid, automatically renewing month-to-month subscription at the price and billing frequency disclosed at checkout unless you cancel before the Trial period ends. Where required by applicable law, we may send you a reminder notice prior to the end of your Trial period.

By enrolling in a Trial Offer, you authorize the Company to use your payment method to process applicable subscription charges upon the conclusion of the Trial period, including by capturing any prior authorization hold.

Eligibility for any Trial Offer is determined by the Company in its discretion. The Company may limit, modify, or discontinue any Trial Offer at any time, subject to applicable law.

BY SIGNING UP FOR A TRIAL OFFER, YOU AGREE THAT UNLESS YOU CANCEL BEFORE THE END OF THE TRIAL PERIOD, YOUR TRIAL WILL AUTOMATICALLY CONVERT INTO A PAID, AUTOMATICALLY RENEWING SUBSCRIPTION AT THE PRICE AND BILLING FREQUENCY DISCLOSED AT CHECKOUT. IF APPLICABLE TO YOUR TRIAL OFFER, YOU AUTHORIZE US TO PLACE AN AUTHORIZATION HOLD ON YOUR PAYMENT METHOD AT THE TIME OF ENROLLMENT, WHICH IS NOT A CHARGE. IF YOU CANCEL DURING THE TRIAL PERIOD, THE AUTHORIZATION HOLD WILL BE VOIDED AND YOU WILL NOT BE CHARGED. IF YOU DO NOT CANCEL BEFORE THE END OF THE TRIAL PERIOD, YOU AUTHORIZE US TO CAPTURE AND SETTLE THE AUTHORIZED AMOUNT AND BEGIN YOUR PAID SUBSCRIPTION. IF YOU DO NOT WISH TO BE CHARGED, YOU MUST CANCEL BEFORE THE END OF THE TRIAL PERIOD.

4. BILLING OF SUBSCRIPTIONS

When you subscribe to the Service, you agree to purchase an automatically renewing subscription that will continue at the billing frequency you select (e.g., monthly or annually) until canceled in accordance with Section 6.

Your initial subscription fee will be charged at the time of purchase, or at the conclusion of any applicable trial period. Unless you cancel before the end of the then-current billing period, your subscription will automatically renew at the applicable rate disclosed at the time of purchase (or as subsequently modified in accordance with these Terms of Sale), and you authorize us to charge your payment method for each renewal term.

Your subscription will continue to renew automatically unless, prior to the end of the current billing period:

1. You cancel your subscription in accordance with Section 6;
2. We decline to renew your subscription; or
3. Your subscription is otherwise terminated in accordance with these Terms of Sale.
4. Deactivating your account does not automatically cancel your subscription. You must complete the cancellation process described in Section 6 to avoid future charges.

All renewal charges will be billed to the payment method you provided at enrollment, including credit card, debit card, or PayPal. If you subscribe using PayPal, you authorize recurring charges through your PayPal account in accordance with PayPal’s terms.

We may modify subscription pricing or subscription terms on a prospective basis. If we increase your subscription price, we will provide advance notice in accordance with applicable law. The new price will take effect at the start of your next renewal term following notice. If you do not agree to the new price, you must cancel your subscription before the renewal date on which the new price becomes effective. Your continued subscription after the effective date of the price change constitutes your acceptance of the new price.

You may review your subscription details at any time in your Account section or by contacting Customer Support.

If you redeem a gift subscription, you may be offered the option to enroll in an automatically renewing subscription at the end of the gift period.

Subscriptions purchased through third-party platforms (such as Apple App Store or Google Play) are managed by the applicable third party. We cannot cancel, modify, or refund subscriptions purchased through third-party platforms. You must manage those subscriptions directly with the applicable third party.

5. CHARGES TO YOUR PAYMENT METHOD

By subscribing, you authorize USA Publishing to charge your selected payment method for all subscription fees and any applicable taxes in accordance with the billing terms described above.

All subscription fees, One-Time Purchase fees, and other charges are denominated and charged in United States dollars (USD).

If you are located outside the United States, your financial institution or payment provider may convert the USD charge into your local currency using its applicable exchange rate. You are solely responsible for any currency conversion charges, exchange rate differences, foreign transaction fees, bank fees, or similar charges imposed by your payment provider. USA Publishing does not control exchange rates and is not responsible for any such fees or conversion differences.

Any refund, credit, or reversal of a charge, including any amount returned through a chargeback or payment dispute, will be issued in the same United States dollar (USD) amount as the original charge (or the applicable portion thereof) and, where possible, to the original payment method. If your financial institution or payment provider converts a charge or refund into your local currency, the amount reflected on your statement may differ from the USD amount charged or refunded, and the local-currency amount you receive for a refund may differ from the local-currency amount originally debited, due to exchange rate fluctuations between the date of the charge and the date of the refund, conversion fees, foreign transaction fees, or other charges imposed by your financial institution or payment provider. USA Publishing is not responsible for any such differences, fees, or charges, and no additional amount will be refunded or credited to account for them.

You agree to provide accurate, current, and complete billing information and to keep your payment method updated. If your payment method fails or cannot be charged for any reason, we may suspend or terminate your subscription and access to the Service until payment is successfully processed.

Charges may appear on your statement as "LAPost.com" or a similar descriptor.

If a recurring charge fails, we may attempt to process the charge again at a lower promotional or adjusted rate in order to maintain your subscription. Any such reduced charge will not exceed the subscription price you previously authorized without additional consent. If successfully processed, the reduced amount will become your new recurring rate unless otherwise disclosed to you.

You are responsible for ensuring sufficient funds are available to cover subscription charges. We are not responsible for overdraft fees, insufficient funds fees, chargeback fees, or similar charges imposed by your financial institution.

6. CANCELLING YOUR TRIAL OR SUBSCRIPTION

You may cancel your trial or subscription at any time by logging into your online Account, contacting us at [email protected], or calling our toll-free customer support number at (888) 488-2023. Cancellation will take effect at the end of the then-current trial or billing period unless otherwise required by applicable law. Except where required by law, we do not provide refunds for partial billing periods.

If you cancel during a free trial period, your access will continue through the end of the trial unless otherwise required by applicable law, and you will not be charged provided you cancel before the trial ends.

If you cancel after a paid subscription period has begun, your cancellation will take effect at the end of the then-current billing period, and you will continue to have access through the remainder of that period. Except as required by applicable law, we do not provide refunds or credits for partial subscription periods.

Nothing in this Section limits any mandatory cancellation or refund rights you may have under applicable consumer protection laws. 

7. ELECTRONIC NOTIFICATIONS

You agree to receive all notices, disclosures, billing communications, and other communications from USA Publishing electronically, including via email or through your online Account.
You agree that electronic communications satisfy any legal requirement that such communications be in writing. You are responsible for maintaining a valid and current email address associated with your account.

Any electronic notice sent to the email address on record shall be deemed received when sent, unless applicable law provides otherwise.

You may withdraw consent to electronic communications where required by law. However, because the Service is provided electronically, withdrawal of consent may limit our ability to provide the Service and may result in suspension or termination of your subscription to the extent permitted by applicable law.

8. THIRD PARTIES

If you purchase a subscription through a third-party platform (such as Apple App Store or Google Play), billing, cancellation, and refund policies may be governed by the terms of that third party.

We are not responsible for initiating, canceling, or refunding subscriptions billed through a third party. However, we may modify or discontinue subscription access associated with such third-party subscriptions if notified by the platform of cancellation or nonpayment.

9. ONE-TIME PURCHASES

Certain content or features of the Service, such as access to the results of a quiz you complete on the Website, may be offered for a single, one-time fee (each, a “One-Time Purchase”). The price of each One-Time Purchase will be displayed at checkout before you submit payment.

A One-Time Purchase is a single charge only. It does not enroll you in a subscription, membership, or trial, and you will not be billed on a recurring basis as a result of a One-Time Purchase. Sections 3 (Trials), 4 (Billing of Subscriptions), and 6 (Cancelling Your Trial or Subscription) do not apply to One-Time Purchases.

A One-Time Purchase entitles you only to the specific content or feature identified at checkout (for example, the results of the particular quiz you completed). Each additional quiz, and any retake of a quiz, requires a separate One-Time Purchase. Purchased quiz results may be displayed on the Website, sent to the email address you provide, and made available in your online Account.

Quiz results are generated based on the answers you provide and are offered for general informational and entertainment purposes only. Quiz results do not constitute professional, financial, legal, medical, or other advice, and the Company makes no representation or warranty regarding their accuracy, completeness, or suitability for any purpose.

By clicking “Pay” or any similar button to complete a One-Time Purchase, you authorize us to charge your selected payment method a single time in the U.S. dollar (USD) amount shown at checkout, plus any applicable taxes. If you are located in a jurisdiction that provides a statutory right of withdrawal for digital content, you expressly request immediate access to the purchased content, consent to immediate performance, and acknowledge that you will lose such right once the content is made available to you.

ALL ONE-TIME PURCHASES ARE FINAL SALES AND ARE NON-REFUNDABLE, EXCEPT AS REQUIRED BY APPLICABLE LAW. If, due to a technical error on our part, you are charged for a One-Time Purchase but are unable to access the purchased content, please contact us at [email protected], and we will, at our option, provide you with access to the purchased content or refund the charge.

10. CANCELLATION AND NO REFUND POLICY

Subscriptions may be canceled at any time as described in Section 6 above; however, cancellation will take effect at the end of the then-current billing period unless otherwise required by applicable law.

Except as required by applicable law, subscription fees are non-refundable, and no refunds or credits are provided for partially used billing periods. One-Time Purchases are final sales and are governed by Section 9.
We may, in our sole discretion, issue refunds or credits in limited circumstances. Any such refund or credit does not create an obligation to issue similar refunds in the future.

Refund requests must be submitted directly to us using the contact information provided on the Website. We do not issue refunds for charges billed by third-party platforms. Any refund we issue will be made in USD in accordance with Section 5.

You are responsible for ensuring sufficient funds are available for authorized charges. We are not responsible for overdraft fees, insufficient fund fees, foreign transaction fees, or similar charges imposed by your financial institution.
Nothing in this Section limits any non-waivable statutory rights to cancellation, refund, or withdrawal that may apply under the laws of your jurisdiction.

We may update this refund policy from time to time. Any changes will apply prospectively following posting of updated Terms of Sale on the Website.

11. CHANGES TO TERMS OR SERVICES

We may modify these Terms of Sale, the Service, or subscription pricing from time to time. If we make material changes, including changes that increase your subscription price or materially affect your rights or obligations, we will provide advance notice by posting the updated Terms on the Website and/or by sending notice to the email address associated with your account.

Unless otherwise required by applicable law, changes will become effective on the date stated in the notice. If you do not agree to the changes, you must cancel your subscription before the changes take effect. Your continued access to or use of the Service after the effective date of the changes constitutes your acceptance of the updated Terms.

If applicable law in your jurisdiction requires a different notice period or method of consent, such requirements will apply.

12. INTERNATIONAL SUBSCRIBER RIGHTS AND DISCLOSURES

If you reside outside the United States, you may have additional rights under applicable consumer protection, e-commerce, or digital services laws. Nothing in these Terms of Sale is intended to limit or exclude any rights that cannot be lawfully waived under the laws of your country of residence.

Without limiting the foregoing:

• European Union and United Kingdom Residents: You may have a statutory right to withdraw from your subscription within fourteen (14) days of purchase. However, if you expressly request immediate access to digital content and consent to immediate performance, you acknowledge that you may lose your right of withdrawal once access begins, to the extent permitted by applicable law.
  
• Canada Residents: Subscription terms, renewals, and cancellation rights are subject to applicable provincial consumer protection laws. Residents of Québec or other Francophone jurisdictions may request a French-language version of these Terms by contacting [email protected].
  
• Australia Residents: Nothing in these Terms excludes, restricts, or modifies any rights you may have under the Australian Consumer Law.
  
  India Residents: Users located in India may raise complaints by contacting [email protected] in accordance with applicable Indian law.

If there is a conflict between these Terms and mandatory local law, mandatory local law will prevail to the extent required.

The Service is offered from the United States and is not directed at residents of any specific foreign jurisdiction. We do not represent that the Service is appropriate or available in all locations.

13. GOVERNING LAW AND LOCAL CONSUMER RIGHTS

These Terms of Sale and any dispute arising out of or relating to the Service are governed by the laws of the State of California, U.S.A., without regard to conflict-of-law principles.

If you reside outside the United States, mandatory consumer protection laws in your jurisdiction may apply in addition to California law. Nothing in these Terms of Sale is intended to deprive you of any non-waivable protections afforded under applicable local law.

Dispute resolution, arbitration, and class action waiver provisions are governed by and subject to the Terms of Use.

14. ENTIRE AGREEMENT

These Terms of Sale, together with the Terms of Use and Privacy Policy, constitute the entire agreement between you and USA Publishing regarding your subscription and supersede all prior and contemporaneous agreements, communications, and understandings, whether written or oral.

By subscribing or making a One-Time Purchase, you acknowledge that you have read and understand these Terms of Sale and agree to be bound by them. If you do not agree to these Terms, you must not subscribe to or use the Service.

15. SURVIVAL

Any provisions of these Terms of Sale that by their nature should survive termination of your subscription or use of the Service shall survive, including without limitation provisions relating to payment obligations, cancellation and refund policies, dispute resolution, disclaimers, limitations of liability, governing law, and entire agreement. Any arbitration, class action waiver, or dispute resolution provisions contained in the Terms of Use shall also survive termination.
